TACHRONE TERMS OF USE

Tachrone is a platform for connecting professionals in the real estate and construction (BTP) sector. Tachrone users can find service providers throughout Morocco who meet their needs.

As an integral part of the Tachrone platform, Tachrone Pro provides sector professionals with a platform that helps them obtain leads, collaborate with new clients and their teams, and manage their visibility in an effective and cost-efficient manner.

Key Points

You must read these Terms of Use (the "Terms" or the "Agreement") in their entirety. However, here are a few key points to remember.

• These Terms constitute a binding contract. You may enter into other agreements or policies with Tachrone, but these Terms govern your use of Tachrone's services across the entire platform at all times. Accessing or using the Tachrone Platform in any way constitutes acceptance of these Terms.
• These Terms include intellectual property licences. While you retain ownership of rights to content you post or share, you grant us broad rights to make your content available to Tachrone and our user community. In return, we grant you a licence to use the Tachrone Platform for your own use.
• For dispute resolution, we ask you to contact us first so that we can help you resolve your dispute informally and amicably.
• The Tachrone Platform displays no advertising and shares no data for advertising purposes. We only send you the messages necessary to the service (transactional emails, notifications you have accepted) and, where you have separately consented to it, our newsletter, from which you can unsubscribe at any time. Details are set out in our Privacy Policy.
• You have certain rights and remedies under these Terms, including the right to terminate the Agreement (however, certain provisions may continue to apply).

1. Which Terms Apply to You?

This article describes the terms and policies that apply to you based on your use of the Tachrone Platform. These Terms constitute a legally binding agreement between you and Tachrone.

TACHRONE, registered in the Commercial Registry of the Mohammedia Court, is the exclusive owner of the TACHRONE trademark registered with the Moroccan Office of Industrial and Commercial Property (OMPIC). This registration grants our brand legal protection under Law No. 17-97.

By using the platform, the user of Tachrone.ma commits to:

• Strictly and scrupulously respecting the brand image;
• Ensuring compliance with the brand usage rules and technical standards;
• Not communicating any strategic and/or confidential information or documents that may come to their knowledge in connection with the exploitation of our brand image;
• Acknowledging that TACHRONE does not guarantee its users against any claims from third parties alleging violation of a right granted hereunder, including infringement or unfair competition actions;
• Refraining from any parasitic act or act of unfair competition by which a company positions itself in our wake to benefit from our efforts, know-how and reputation without incurring any expense;
• Committing to promote our brand;
• Acknowledging that TACHRONE is authorised to carry out on-site or remote inspections at any time to ensure compliance with our quality policy;
• Paying flat-rate royalties to TACHRONE in consideration for the grant of the brand usage right (for Tachrone Pro professionals);
• Using our platform in an effective, serious and loyal manner, without altering the platform's name or logo.
• Acknowledging that in the event of breach, TACHRONE reserves the right to take all necessary legal measures to protect its rights, including revoking the brand usage right (Law No. 17-97).

FOR THE AVOIDANCE OF DOUBT, USING THE TACHRONE PLATFORM AND ANY TACHRONE PRODUCT, SOFTWARE OR SERVICE IN ANY WAY IMPLIES THAT YOU ACCEPT THESE TERMS OF USE.

2. Use of the TACHRONE Platform.

This article specifies who can use the Tachrone Platform (any person aged 18 and over), how to create a Tachrone account, and how your account may be terminated.

• Who can use the Tachrone Platform? Any person aged 18 and over. Use of the Tachrone Platform is strictly prohibited for anyone under the age of 18.
• Creating an account. To access certain features, you will need to register and create an account, where applicable via a third-party authentication provider (Google or Apple). By doing so, you agree to provide accurate information, keep it up to date and keep your credentials confidential. We process your personal data in accordance with our Privacy Policy.
• Termination. Termination of your account depends on your specific use of the Platform and may occur as follows.
  1. How you can terminate your account:
     1. For non-professional accounts, you can close your account at any time via account settings.
     2. For Tachrone Pro professional accounts, specific termination procedures may depend on your subscription.
  2. How Tachrone can terminate your account: we may suspend your use of the Platform at any time, for any reason, without prior notice or liability to you.
     1. What happens upon termination: certain provisions will continue to apply after the termination date.

Furthermore:

Your Content: upon termination, Tachrone will endeavour to make Your Content inaccessible and to anonymise your associated personal data, unless the law requires retention.

Personal Data: our Privacy Policy contains additional information regarding the processing and retention of your personal data, including following termination.

3. Your Content.

This article describes the rights to your Content that you grant to Tachrone and its users.

• Definition of Your Content. The Platform allows you to post, upload or otherwise submit content including photos, reviews, comments, profile images, project files, messages, quotes, invoices, task lists, notes, schedules and specifications. All content you post is collectively referred to as "Your Content".
• Licence and authorisation to use Your Content. You hereby grant Tachrone and its affiliates, without compensation to you, a worldwide, non-exclusive, transferable, royalty-free licence to use, reproduce, adapt, publicly display, modify, publish and distribute Your Content for the purposes of operating and promoting the Platform. This licence ends when you remove Your Content or delete your account, without prejudice to: (i) backup copies for the duration of their deletion cycle; (ii) copies already reproduced or distributed by third parties before removal; and (iii) retention required by law. It does not affect any of the rights you hold under personal data regulations, in particular your right to erasure (see our Privacy Policy).
• Comments and reviews. We value your feedback for improving the Tachrone Platform. Please send your comments to [email protected].
• All comments provided via Tachrone.ma must meet certain criteria. By submitting your comments or reviews, you grant us the right to use, disclose or exploit them at our sole discretion, without any restriction or compensation.
• Use of automated tools and AI-generated content. Tachrone may, at its discretion, offer integrations with automated tools via the Platform, including generative AI models provided by Anthropic (Claude), with no warranty as to the accuracy of the results. Any response generated by our automated assistant can be reported directly in the app via the "Report this response" button.

Prohibited content, reporting and moderation

Tachrone enforces a zero-tolerance policy toward objectionable content and abusive behaviour. Prohibited content includes, in particular: harassment, hateful or discriminatory speech, sexual, violent or fraudulent content, spam and impersonation.

Every user can report content or block another user directly from the app (reviews, messages, profiles, products, projects). In accordance with our commitment, we: (i) require acceptance of these Terms before any publication; (ii) filter and moderate objectionable content; (iii) provide an in-app reporting mechanism; (iv) allow blocking of any abusive user; and (v) review reports, remove objectionable content and eject offending users within 24 hours. Child safety and prevention of child sexual abuse and exploitation (CSAE)

The Tachrone Platform is strictly reserved for people aged 18 and over and enforces a zero-tolerance policy toward child sexual abuse and exploitation (CSAE) content, including any sexual content — real or generated — involving minors. Such content is immediately removed, the responsible account is permanently banned, and the facts are reported to the competent Moroccan authorities in accordance with the law. Third-party intellectual property and reporting (notice-and-takedown)

If you believe that content published on the platform infringes your intellectual property rights (copyright, trademark) or your privacy, you can report it to [email protected] by precisely identifying the content concerned. We undertake to review your request and, where appropriate, remove the disputed content.

4. Tachrone Content and Elements.

This article covers Tachrone's rights over the Tachrone.ma Platform and the licence granted to you.

• Definition of Tachrone Content and Elements. All intellectual property rights in or related to the Tachrone Platform (including its software, trademarks, logo, buttons and badges, excluding Your Content) belong to Tachrone.
• Your licence to use Tachrone. Tachrone grants you a limited, non-exclusive licence to access and use Tachrone Content in connection with your personal, non-commercial use of the Platform, subject to these Terms.
• Restrictions. Unless expressly provided in these Terms, you agree not to use, modify, reproduce, distribute, sell, reverse-engineer or exploit Tachrone Content without express written authorisation. The use of scraping bots or data extraction tools is expressly prohibited.

5. Payments and Other Platform Offers.

This article covers the conditions relating to Tachrone payments. The detailed financial terms (pricing, subscriptions, withdrawal, refunds) are set out in our Terms of Sale.

• Payment method. Tachrone has the right to transfer certain payment method information to PAYZONE. You must promptly update your payment details to ensure accuracy and completeness.
• Late fees. If we are unable to collect amounts owed, we may limit your use of TachronePro Services and recover such amounts by any legal means.

6. Right to Select Listed Professionals.

The platform exercises a discretionary right to select listed professionals. It reserves the right to accept, refuse, suspend or delete any account without prior notice or compensation, particularly where the level of professionalism, quality of information provided or user conduct is deemed incompatible with the platform's standards and objectives.

Registration and continued listing on the platform is conditional upon providing all requested information, which must be accurate, complete and regularly updated.

Failure to comply with these obligations may result in the permanent deletion of the account, without the user being entitled to make any claim.

7. Service Availability, Warranties and Liability.

Intermediary role. Tachrone is a technical intermediary connecting parties. We are not a party to the contracts entered into between professionals and users, and we do not warrant the quality, compliance or safety of the services and products offered, nor the solvency or reliability of users. Any contractual relationship is formed under the sole responsibility of the parties concerned.

Service provided "as is". The Platform is provided "as is" and as available. We do not warrant continuous, uninterrupted or error-free operation, and we may at any time evolve, suspend or discontinue all or part of the service, including for maintenance operations.

Automated assistant. Responses generated by our automated assistant are provided for information only, may contain inaccuracies and do not constitute professional advice (legal, financial, technical or construction-related). You remain responsible for the decisions you make on that basis.

Limitation of liability. To the extent permitted by law, Tachrone shall not be liable for indirect damages arising from the use of, or inability to use, the Platform, nor for disputes arising between users.

Indemnification. You agree to indemnify Tachrone against any third-party claim arising from Your Content, your conduct, or your breach of these Terms.

Third-party links and services. The Platform may link to third-party sites or services (Google and Apple authentication, mapping, etc.) that we do not control; we disclaim any responsibility for their content and practices.

8. General Provisions.

Governing law and jurisdiction. These Terms are governed by Moroccan law. Any dispute relating to their interpretation or performance falls within the jurisdiction of the courts of Mohammedia, subject to mandatory consumer protection provisions.

Changes to the Terms. We may amend these Terms to reflect changes in our services or in regulations. In the event of a material change, we will inform you by appropriate means; continued use of the Platform constitutes acceptance of the amended Terms.

Publisher and legal notice. The Platform is published by TACHRONE, a company incorporated under Moroccan law, registered with the Commercial Registry of Mohammedia under number 35301, with its registered office at BD PALESTINE 4, LOT HOURIA 1, ETAGE 2 APPT 3, Mohammedia, Morocco. The processing of personal data is described in our Privacy Policy.

9. Annex — Mobile application distributed through the App Store and Google Play

This annex applies when you use the Tachrone mobile application downloaded from Apple's App Store or from Google Play. In the event of a conflict with the rest of the Terms, it prevails for that use.

Apple-specific provisions

• Parties to the agreement. These Terms are entered into between you and TACHRONE only, and not with Apple. TACHRONE alone is responsible for the application and its content.
• Scope of the licence. The licence granted to you is a personal, non-transferable licence to use the application on any Apple-branded product that you own or control, as permitted by the Usage Rules of the Apple Media Services Terms and Conditions.
• Maintenance and support. TACHRONE is solely responsible for maintenance and support services in respect of the application (contact: [email protected]). Apple has no obligation whatsoever in that respect.
• Warranty. TACHRONE is solely responsible for any warranties, express or implied, applicable to the application. In the event of any failure to conform, you may notify Apple, which will refund any purchase price paid for the application; the application being provided free of charge, no purchase price is capable of being refunded. To the maximum extent permitted by law, Apple has no other warranty obligation.
• Product claims. TACHRONE, not Apple, is responsible for addressing any claim by you or a third party relating to the application, including product liability claims, any claim that the application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or personal data legislation.
• Intellectual property. In the event of a third-party claim that the application infringes that party's intellectual property rights, TACHRONE, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
• Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo, or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party terms. You undertake to comply with any applicable third-party terms in your use of the application.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you, which you acknowledge and accept.

Google Play-specific provisions

Google is not a party to these Terms and is not responsible for the application or its content. Your download and use of the application from Google Play are further governed by the Google Play terms of service. TACHRONE remains solely responsible for the application, its support and the handling of any claim relating to it.
